Matt's experience extends to a wide range of industries, including the entertainment and wine industries. He has represented a founder of a major motion picture studio in the Bay Area, providing legal guidance on all aspects of the studio's business and alcohol beverage matters. This has included the development of a hospitality/retreat center, various wine brands and vineyards, and the negotiation of grape purchase and trademark license agreements. Matt has also represented a St. Helena mixed-use development, advising the family and family entities on real property acquisitions and associated business, alcohol beverage, and real estate matters.

In addition to his experience in the entertainment and wine industries, Matt has represented clients in the production of a major multi-day music festival in Napa, obtaining city special event permitting, drafting nonprofit, landowner, volunteer, after-party, and other contracts, and working on post-festival asset purchase negotiations and deal drafting with national and local media/festival companies and start-ups. Matt has also represented a winery software company in the negotiation and documentation of a plan of reorganization and the parallel investment by a publicly-traded company into the surviving corporation.

Furthermore, Matt has structured and documented numerous vineyard acquisitions for two vineyards funds with national pension/institutional investors. He has also represented a Napa nonprofit foundation that owns and develops master-planned commercial property, advising on complex ground and build to suit leases, development agreements, easements, lease terminations, construction loan agreements, and real property tax appeals.

In addition to his experience in the entertainment and wine industries, Matt has a wide range of experience in business, real property, and alcohol beverage law. He has advised prominent winemakers and families on the acquisition and development of wineries and the subsequent sale of interests in wineries. Matt has also represented Michelin-starred chefs and restaurants, structuring asset purchase agreements and ABC licensing for the purchase and long-term lease of existing restaurant premises and preparing formation and investment-related documents. He has also advised on and documented leasing, ABC, and City permitting, management entity creation, and investment materials for new restaurant ventures.

Matt's experience also extends to luxury food companies, where he acts as general outside counsel on equity investments, dispute resolution, licensing, and mediation of disputes. Matt has a deep understanding of the legal issues facing businesses in the Napa Valley and is dedicated to helping his clients achieve their goals while avoiding or managing pitfalls and disputes.

The journey to Napa Valley

Matt's journey from the east coast to the Napa Valley in the late 90's was driven by his background in wine and food and, of course, living and practicing law in a landscape that gets as close to Nirvana as one could hope. Born and raised outside Philadelphia, Matt is a graduate of Columbia University (cum laude, 1987) and Temple University Beasley School of Law (on Law Review and with multiple awards, in 1996). In between college and law school, Matt was a sommelier and wine buyer at the famed "21" Club in Manhattan.

After two years in a large corporate practice in Philadelphia, Matt moved to Napa to become a wine industry lawyer and raise a family with his wife Hillary in the heart of wine country. With a focus on business, real property, alcohol beverage, land use, and music/film/literary/digital arts law, Matt has established himself as a trusted advisor for businesses in the Napa Valley and beyond.
